These Instructor Terms & Conditions (“Terms”) govern your participation as an Instructor on the ASSL Learning Management System (LMS). By registering as an Instructor, creating courses, or selling training through our platform, you agree to these Terms in full.
By applying to become an instructor, creating courses, or selling training on the ASSL LMS, you agree to these Instructor Terms (“Instructor Terms”). These Instructor Terms are incorporated into and form part of the ASSL LMS Terms & Conditions and use the same defined terms. In the event of a conflict, Course-Specific Terms and this Instructor Addendum will govern for instructor matters.
Eligibility & Registration
- All Instructors must register for an account and provide accurate, complete information.
- Course creation and sales are subject to review and approval by ASSL. Approval is at our sole discretion.
- Instructors must comply with all applicable laws, regulations, and platform rules.
- ASSL may approve/decline any application or course in its sole discretion to protect learner experience and platform integrity.
Instructor Obligations & Quality Standards
You are responsible for all content you submit, including lectures, quizzes, exercises, assignments, resources, course pages, labs, assessments, and announcements (“Submitted Content”). You represent and warrant that:
- you will provide and maintain accurate account information
- you own or hold valid rights and permissions to all Submitted Content;
- your Submitted Content does not infringe any third-party rights (IP, privacy, publicity, or confidentiality);
- you have the qualifications and expertise to teach the topics offered;
- you will deliver a professional quality of instruction consistent with industry standards; and
- you will keep courses current and accurate (updating content as needed).
You agree not to:
- post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libelous content or information;
- post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user;
- use the Services for business other than providing tutoring, teaching, and instructional services to students;
- engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
- frame or embed the Services (such as to embed a free version of a course) or otherwise circumvent the Services;
- impersonate another person or gain unauthorized access to another person’s account;
- interfere with or otherwise prevent other instructors from providing their services or content; or
- abuse ASSL resources, including support services
License to ASSL (hosting, delivery, marketing)
- To host, deliver, and promote your courses, you grant ASSL a worldwide, non-exclusive, royalty-free license to use, reproduce, host, cache, transmit, display, perform, adapt (e.g., add captions and accessibility features), market, and distribute Submitted Content on and through the LMS and authorized channels (e.g., email campaigns, affiliate/partner placements).
- You authorize ASSL to sublicense access rights to enrolled students and approved partners for the purpose of delivering the Services.
- You authorize ASSL to use your name, likeness, voice, and profile to market and operate the Services in connection with your courses.
- If you unpublish/remove a course, ASSL will cease marketing it prospectively; however, (i) students who already enrolled retain access per their license, and (ii) reasonable archival/quality-assurance uses may continue.
Optional: Generative AI features
- ASSL may use non-generative AI to improve search, recommendations, quality checks, and accessibility. If ASSL introduces generative AI features that interact with course content, instructors will be notified and may opt out before any public launch of those features.
Trust, Safety & Compliance
- You agree to comply with Trust & Safety, Restricted Topics, Quality, and Academic Integrity guidelines issued by ASSL from time to time.
- ASSL may remove content, suspend payouts, or restrict/terminate instructor accounts at any time (with or without notice) if content or conduct:
- violates law, these Instructor Terms, or platform policies;
- falls below quality standards or harms the learner experience;
- risks ASSL’s reputation or constitutes unfair competition (e.g., steering learners off-platform in violation of policy).
Course Approval & Standards
- Before being published, each course must meet ASSL’s quality, content, and compliance standards.
- ASSL reserves the right to reject, remove, or modify courses that do not meet standards or that violate these Terms.
- Instructors are responsible for ensuring that all content is original or properly licensed, and does not infringe on the intellectual property rights of any third party.
Fees & Payment
- Commission – ASSL charges a 20% commission on all gross sales revenue from your courses.
- Platform Fee – A 1% standard fee applies for maintenance of the platform.
- Payouts – Instructor earnings (after commission and fees) will be paid out on a monthly basis, subject to reaching the minimum payout threshold.
- Payments will be made via the Instructor’s registered payment method (e.g., bank transfer, PayPal).
- Payout Timing: Payouts occur monthly, typically within 30 days after month-end, subject to a US$50 minimum payout threshold.
- Method & Costs: Sales on the platform are processed in USD, but all instructor Payouts are made in TTD to your selected method (e.g., bank transfer or approved provider). You are responsible for any bank, transfer, currency conversion, or intermediary fees and for your taxes.
- Instructors are responsible for any transaction fees, taxes, or currency conversion costs charged by financial institutions.
- Refunds impact payouts. If a learner receives a refund or credit under our Refund Policy, the related amount will be deducted from your future payouts or, if necessary, recovered from you.
Refund & Cancellation Policy
- Student Refunds: ASSL operates under a 10-day refund window for students, provided course materials have not been accessed. Once accessed, only a credit note may be issued at ASSL’s discretion.
- Instructor Impact: If a refund or credit is granted, the Instructor’s earnings from that transaction will be deducted accordingly from future payouts.
- Instructor Cancellations: If an Instructor removes or cancels a course after students have enrolled, ASSL may:
- Refund enrolled students in full, and
- Withhold any related payouts from the Instructor.
- Disputes: In cases of excessive refund requests linked to an Instructor’s courses, ASSL reserves the right to:
- Review course quality and compliance,
- Suspend payouts until resolution, and/or
- Terminate the Instructor’s account.
Instructor Responsibilities
- As an Instructor, you agree to:
- Provide accurate, high-quality learning content.
- Keep your courses updated to reflect current practices, standards, and regulations.
- Maintain professional conduct with students and ASSL staff.
- Ensure compliance with intellectual property, confidentiality, and data protection laws.
- Not upload any content that is unlawful, offensive, defamatory, or inappropriate.
Confidentiality
- Instructors agree to keep all non-public information received from ASSL, including platform operations, student data, and payment details, strictly confidential.
- Confidential information may not be shared, disclosed, or used for any purpose other than fulfilling Instructor responsibilities on the LMS.
Intellectual Property
- All content created and uploaded by Instructors remains the intellectual property of the Instructor.
- By publishing a course, you grant ASSL a worldwide, non-exclusive license to market, host, and deliver the course to students via the LMS.
- ASSL may use course titles, descriptions, and instructor names for marketing and promotional purposes.
- Anti-Piracy: You appoint ASSL (and its anti-piracy vendors) as your agent to issue copyright notices and takedowns for your courses across third-party services.
- Third-Party Rights: Do not include content that requires royalty payments (e.g., unlicensed music, footage) or violates public-performance rights.
Termination & Suspension
- ASSL reserves the right to suspend or terminate an Instructor’s account immediately if:
- Commission or platform fees are unpaid,
- The Instructor breaches these Terms,
- Submitted courses violate quality, legal, or ethical standards,
- The Instructor engages in misconduct, fraud, or misuse of the platform.
- Upon termination, ASSL will pay any outstanding balances owed to the Instructor (less applicable fees and deductions).
Trademarks & Branding
- While you are a published instructor, and subject to any brand guidelines, you may reference that your course is “available on ASSL LMS.” You must not:
- imply endorsement or sponsorship by ASSL;
- use ASSL marks in a misleading/disparaging way; or
- use ASSL marks with unlawful, obscene, or inappropriate material.
ASSL may require you to discontinue any mark usage at any time.
Deleting Your Instructor Account
- You may request account deletion via support. ASSL will make commercially reasonable efforts to settle any remaining payouts due and to process the deletion. Learners with prior enrollments may retain access to your courses under their license.
Liability & Indemnity
- Instructors are solely responsible for the accuracy, legality, and appropriateness of their course content.
- ASSL is not liable for any claims, disputes, or losses arising from Instructor content or conduct.
- Instructors agree to indemnify and hold harmless ASSL against any third-party claims related to their courses, including intellectual property disputes.
Data Protection & Student Information
- Instructors may gain access to limited student data (e.g., names, emails for course administration).
- Such data may only be used to deliver the course and must not be used for marketing, sharing, or resale.
- You must keep non-public information (platform operations, pricing, performance data, security measures, and any student personal data you see in the dashboard) strictly confidential and use it only to deliver your course.
- You may not export or store student personal data outside the ASSL LMS, nor contact learners for off-platform marketing unless expressly permitted by ASSL policy and law
- Instructors must comply with data protection laws and ASSL’s Privacy Policy.
Governing Law
- These Terms are governed by the laws of Trinidad and Tobago. Any disputes will be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago.
Entire Agreement
- These Instructor Terms, together with the ASSL LMS Terms & Conditions, Refund Policy, and Privacy Policy, constitute the entire agreement between ASSL and the Instructor.
Updates to These Instructor Terms
- ASSL may update these Instructor Terms to reflect new features, policies, or legal requirements. Material changes will be communicated via email or LMS notices and are effective upon posting unless stated otherwise. Continued use of the LMS constitutes acceptance of updates.
Relationship, Survival & Law
- Nothing in these Instructor Terms creates a partnership, joint venture, employment, or agency relationship.
Sections relating to licenses, IP, confidentiality, data protection, payments, refunds, limitations, and dispute resolution survive termination.
These Instructor Terms are governed by the laws of Trinidad & Tobago, with exclusive jurisdiction of its courts.
